Overview

Individuals and businesses may organise their affairs through various legal structures. One of the most common ways to organise a business structure is through incorporation. Accordingly, accountants should have a detailed knowledge about corporations as a particular type of business structure.

Learning Outcomes

On successful completion of this unit you will be able to:

  1. Identify and describe relevant Australian corporations law i.e. legislation, cases, regulatory policies.
  2. Exercise critical thinking, evaluation and judgement for evidence-based problem solving in the context of individual participant's perspectives of corporations law
  3. Apply knowledge of corporations' regulation to respond to legal issues of corporations
  4. Analyse and evaluate real world business situations to identify the relevant corporations law and regulations that apply, with consideration for environmental, social and governance issues including climate change risk and response.
  5. Explain data protection principles and identify privacy regulations for data and information.

Content

This unit looks at the Corporations Act 2001 (Cth), registration, the separate legal entity doctrine, types/classes of companies and shares, company constitution, replaceable rules, company register, membership, company meetings, directors, corporate governance and directors' duties, members' rights and remedies, corporate liability, capital raising, prospectuses, reporting, disclosure, insolvency issues, external administration and data protection and privacy regulations.

The generic capabilities this unit develops are discipline knowledge, critical thinking and judgement, and legal knowledge.

Learning Approaches

Teaching and learning strategies are designed to facilitate the learning outcomes of the unit. The emphasis in Corporations Law is to give students a fair understanding of the nature of the principal laws relating to companies in the Australian business environment. There are three main elements to the learning and teaching strategies to this unit - lectures, tutorials and an assignment.

Lectures

Students are expected to attend lectures each week. Lecture notes are provided each week for students. You should download the lecture notes each week from the AYB230 Canvas site to use during the lecture. You can access online units using any computer that has Internet access. The QUT Student Computing Guide contains information on how to access and use the computing facilities at QUT.

Tutorials

Students are expected to attend tutorials each week. Tutorials commence in Week 2. Once allocated to a tutorial, students must remain in that tutorial for the entire semester. After the first tutorial, changes are not permitted unless there are exceptional circumstances and the express consent of the unit coordinator is given. Students are permitted to only attend one tutorial per week. Students are expected to access the tutorial questions from the AYB230 Canvas site each week, and print and bring them with you to the tutorial along with attempted answers for discussion.

Tutorials provide an opportunity for you to develop your understanding of key issues and concepts dealt with in lectures. Each week students will need to complete the required readings and to prepare answers for the tutorial discussion questions. Students are expected to engage in and lead classroom discussion. Past experience indicates there is a strong correlation between students who fail the unit and students who do not attend lectures and tutorials.

Assignment

This unit uses Turnitin, a tool in Canvas, which is a text matching tool that assists students to develop the academic skills required to correctly use and cite reference material as well as to check citations and determine possible instances of plagiarism. You will be expected to submit a final version of one or more assignments using this tool. Your Unit Coordinator will provide detailed information on how the tool will be used in this unit.

Feedback on Learning and Assessment

Students will receive feedback in various forms throughout the semester which may include:

  • Informal: verbal feedback in class, personal consultation
  • Formal: in writing, such as checklists (e.g. criteria sheets), written commentary
  • Direct: to individual students, either in written form or in consultation
  • Indirect: to the whole class

Assessment

Overview

The assessment aims to support your achievement of the learning outcomes for this Unit. It has been designed in order to allow you to both:

  • receive feedback on your learning as you progress toward the development of knowledge, understanding, skills and attitudes (formative assessment); and
  • demonstrate your learning in order to achieve a final grade (summative assessment).

Students may be required to attend campus or an assessment centre for the purposes of assessment, regardless of the attendance mode for the unit.

Assessment: Problem Solving Task

Acting as an accounting professional, you will analyse and evaluate real world business situations to identify the relevant corporations law and regulations that apply and give consideration for socially responsible solutions.

Formative or Summative: Formative & Summative

Business Capabilities (AoL goals): HO (2.2), SE (5.1, 5.2)

This assignment is eligible for the 48-hour late submission period and assignment extensions.

Weight: 20
Length: 1,000 words. 10% above the word limit is acceptable. Grading will be based upon the text that is within the word limit (or 10% above).

Assessment: Final Exam

This item of assessment will contain a combination of short answer questions and problem-solving questions. All topics are examinable.

This examination will be an invigilated face-to-face exam undertaken either on campus or at an examination centre.
